GENERAL TERMS AND CONDITIONS SECRETBOXING

These General Terms and Conditions of SECRETBOXING Academy GmbH, Seidenstraße 20, 70174 Stuttgart, Germany ("SECRETBOXING"), consist of two parts: PART A governs orders placed through our online shop (merchandise and equipment). PART B governs bookings of classes, training sessions, credits, session cards, and memberships made through our booking platform Eversports or in person at our studio.

Neither part applies to individual Personal Training, which is subject to a separate agreement, nor to our SECRETBOXING Academy programs, which are governed by the terms at secretboxingacademy.com.

If you book through a third-party aggregator platform (e.g. ClassPass, Wellpass), the terms of that respective aggregator apply instead.

PART A – ONLINE SHOP (MERCHANDISE & EQUIPMENT) ****************************************************************************************************

§1 Scope of Application

(1) The following provisions apply to all orders for goods (in particular boxing equipment and apparel) placed through our online shop between SECRETBOXING and consumers, in the version valid at the time of the order.

(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession (§ 13 German Civil Code, BGB).

§2 Formation of the Contract, Storage of the Contract Text

(1) The following provisions on contract formation apply to orders placed through our online shop at https://www.secretboxing.com.

(3) The presentation of goods in our online shop does not constitute a legally binding offer on our part, but rather a non-binding invitation for the consumer to order goods. By placing an order for the desired goods, the consumer submits a binding offer to conclude a purchase agreement.

(4) The ordering process in our online shop generally comprises the following steps:
1) Selection of the desired goods and placement in the shopping cart
2) Review and, if necessary, adjustment of the details in the shopping cart
3) Entry of delivery and contact details
4) Selection of payment method
5) Final review of all entered data and order contents
6) Binding submission of the order by clicking a button clearly labeled "order with obligation to pay" (or a comparably unambiguous wording)

Before submitting the order with binding effect, the consumer may review and correct their entries at any point by navigating back within the ordering process, or may cancel the order by closing the browser window.

We confirm receipt of the order immediately by an automatically generated email ("order confirmation"). This does not yet constitute acceptance of the contractual offer, but merely confirms receipt of the order, unless we expressly declare acceptance within it.

§3 Prices, Shipping Costs, Payment, Due Date

(1) The prices stated are final prices and include statutory VAT as well as any other price components. Any shipping costs are added and will be shown separately before the order is completed.

(2) The consumer has the option to pay via Squarespace Payments (credit card and other payment methods available through Squarespace Payments) as well as via PayPal. (

3) The purchase price is due immediately upon conclusion of the contract.

§4 Delivery

(1) We deliver exclusively within Germany.

(2) Unless clearly stated otherwise in the product description, all prices are subject to the shipping costs shown separately.

(3) The risk of accidental loss or accidental deterioration of the goods sold passes to the consumer only upon handover of the goods, even in the case of shipment sale.

§5 Retention of Title
We retain title to the goods until the purchase price has been paid in full.

§6 Right of Withdrawal for Consumers

RIGHT OF WITHDRAWAL

You have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day on which you or a third party named by you, who is not the carrier, took possession of the last of the goods.

of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or an email). You may use the model withdrawal form below, although this is not mandatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication regarding the exercise of the right of withdrawal before the withdrawal period has expired. You shall bear the direct costs of returning the goods.

CONSEQUENCES OF WITHDRAWAL

If you withdraw from this contract, we shall reimburse all payments received from you, including delivery costs (except for supplementary costs resulting from your choice of a delivery method other than the least expensive standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which we received notice of your withdrawal from this contract. For this reimbursement, we will use the same means of payment you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged any fees for this reimbursement. We may withhold reimbursement until we have received the goods back, or until you have supplied evidence that you have sent back the goods, whichever is the earliest.

You must return or hand over the goods without undue delay and in any event not later than fourteen days from the day on which you notify us of the withdrawal from this contract. The deadline is met if you send back the goods before the fourteen-day period has expired.

§7 Warranty

The statutory warranty provisions apply.

§8 Contract Language

The contract language is English.

§9 Applicable Law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence. §10 Dispute Resolution SECRETBOXING is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

PART B – CLASSES & MEMBERSHIPS

1. Scope of Application

This Part B applies to all bookings of classes, training sessions, credits, session cards, and memberships offered by SECRETBOXING through our booking platform Eversports or in person at our studio. By completing a booking through Eversports or at our studio, the customer accepts these terms.

2. Formation of Contract

The contract is formed upon successful booking through Eversports, in person at the studio, or upon conclusion of a membership agreement. By booking, the customer confirms that they have full legal capacity to enter into this contract.

3. Scope of Services

SECRETBOXING offers boxing-based training sessions, memberships, and related events. Access to training requires a prior registration and booking through Eversports; participation without a valid booking is not possible. The scope of services offered is determined by the respective current class schedule and membership offer. There is no entitlement to a specific trainer, time slot, or program.

4. Memberships & Contract Duration

Memberships are generally offered with an initial term of 6 or 12 months, as specified for the respective membership tariff at the time of purchase. After the initial term expires, the membership automatically renews on a monthly basis unless terminated in accordance with Section 5. The specific terms, pricing, and conditions displayed and confirmed at the time of purchase on Eversports for the respective membership tariff shall govern and take precedence over the general description above, as these may vary between different membership products.

5. Termination

Memberships may be terminated with one month's notice, effective at the end of the then-current contract period (initial term or subsequent monthly renewal period). Termination must be submitted in writing (e.g. by email to hello@secretboxing.com) or via the cancellation option provided in Eversports, where available.

6. Cancellation of Individual Bookings & No-Show

Classes and training sessions may be cancelled free of charge up to 24 hours before the scheduled start time. If a session is cancelled within this 24-hour window, the credit used for that booking will be returned to your account balance for future use. This applies to all booking types (drop-in credits, session cards, and memberships). Cancelled credits are not refunded or paid out in cash or to your original payment method; they are only credited back to your account for future bookings, subject to the applicable validity period. In the event of a late cancellation (within 24 hours of the scheduled start) or a no-show, we reserve the right to charge a fee of €10, regardless of the booking type used. This fee is charged independently of any existing membership or class package and is not credited toward future services.

7. Drop-in Credits & Session Cards

Drop-in credits and session cards are subject to the validity period stated at the time of purchase. Session cards cannot be extended. Credits and session cards are non-refundable and cannot be paid out in cash.

8. Right of Withdrawal

For individual class bookings tied to a specific date and time, the statutory right of withdrawal does not apply, as these are leisure services connected to a specific date within the meaning of § 312g (2) no. 9 of the German Civil Code (BGB). The cancellation policy under Section 6 applies instead. For session cards or memberships purchased online through Eversports, consumers have a statutory right of withdrawal within 14 days of conclusion of the contract. This right of withdrawal exists only for as long as no training session from the session card or membership has yet been used. Once a first session has been used, the right of withdrawal expires, as SECRETBOXING has, with your express consent, begun performing the service before the withdrawal period has ended.

We review each withdrawal request individually, in particular with regard to whether any sessions have already been used, and will confirm the outcome to you promptly.

To meet the withdrawal deadline, it is sufficient for you to send your communication regarding the exercise of the right of withdrawal before the withdrawal period has expired.

9. Payment Terms

Payment is processed through Eversports and the payment methods offered therein. The booking becomes binding only upon successful payment. The payment terms of Eversports and its respective payment providers apply in addition to these terms.

10. Eligibility & Personal Responsibility

Participation in training is at the participant's own responsibility. By booking, participants confirm that they are in adequate health to take part in boxing-based training. If in doubt, we recommend consulting a physician prior to participation. Participants are asked to inform the SECRETBOXING team in advance of any relevant health conditions, injuries, or pregnancy.

11. Liability

SECRETBOXING is liable without limitation for damages resulting from injury to life, body, or health caused by an intentional or negligent breach of duty by SECRETBOXING, its legal representatives, or vicarious agents. For other damages, SECRETBOXING is liable only in cases of intent or gross negligence. In cases of slight negligence, SECRETBOXING is liable only for the breach of material contractual obligations (cardinal obligations), and only to the extent of the damage typically foreseeable at the time of contract conclusion. The above limitations of liability do not apply to claims under the German Product Liability Act (Produkthaftungsgesetz) or to any liability we have assumed under an express guarantee. SECRETBOXING accepts no liability for personal belongings brought onto the premises, except in cases of intent or gross negligence.

12. Code of Conduct

For safety and to ensure a respectful environment, we ask all participants to follow the trainers' instructions at all times, in particular with regard to the correct and safe execution of exercises. We value a respectful and friendly atmosphere at the studio. In the event of repeated or serious violations of these principles, SECRETBOXING reserves the right to restrict access to individual classes or, in serious cases, to terminate a membership for good cause.

13. Refunds

Refunds are only issued in the event of a valid extraordinary termination or in the event of a cancellation of services by SECRETBOXING. In the event of an exclusion due to a violation of these terms, a pro-rata refund may be granted at SECRETBOXING's discretion, but there is no entitlement to such a refund.

14. Changes to the Class Schedule or Offer

Class times, trainers, and class content may be changed at short notice for organizational reasons or in the event of illness. There is no entitlement to the delivery of a specific class or to a specific trainer.

15. Data Protection

Our separate Privacy Policy, available at https://secretboxing.com/dataprivacy, applies to the processing of personal data in connection with these services.

Final Provisions (applicable to both Part A and Part B)

Should any provision of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected. German law applies. To the extent legally permissible, the place of jurisdiction shall be the registered seat of SECRETBOXING Academy GmbH.
